1. Agreement to Terms

1.1 These Terms and Conditions constitute a legally binding agreement between you, whether acting personally or on behalf of a legal entity (“you”, “your”), and Wessex Cleaning Equipment & Janitorial Supplies Ltd (“we”, “us”, “our”), governing your access to and use of the websites https://shop.wessexcleaning.com, https://wessexcleaning.com & wessexhub.com, together with any related applications, portals or services (collectively, the “Site”).

The Site provides access to cleaning and janitorial supplies, machinery, chemicals, solvents and related goods and services (the “Services”). By accessing or using the Site or Services, you confirm that you have read, understood and agree to be bound by these Terms and Conditions in full.

If you do not agree to these Terms and Conditions, you must not access or use the Site or Services and should discontinue use immediately. We recommend that you retain a copy of these Terms for your records.

1.2 These Terms incorporate by reference any additional policies listed in clause 1.7, together with any supplemental terms or documents published on the Site from time to time.

1.3 We may amend these Terms and Conditions at any time. Any revised version will be effective immediately upon publication on the Site, with the “Revised” date updated accordingly. Your continued use of the Site following publication constitutes acceptance of the revised Terms.

1.4 We may update, suspend or modify the Site or Services from time to time to reflect changes in products, user requirements or business priorities.

1.5 The Site is intended for users resident in the United Kingdom, excluding Northern Ireland. We make no representation that the Site or its content complies with laws outside this jurisdiction.

4.1 Where you submit content to the Site or directly to us, including reviews, testimonials, feedback, case studies, survey responses, images or other materials (“User Content”), you acknowledge that such content may be visible to other users and third parties.

4.2 By submitting User Content, you grant us a perpetual, irrevocable, royalty-free, worldwide, transferable and sublicensable licence to use, reproduce, modify, publish, display, distribute and otherwise exploit that content for any lawful business purpose, including marketing, promotional, case study and commercial materials, without payment or further consent.

4.3 Without limiting clause 4.2, you expressly grant us permission to use your company name, trading name, logo, testimonials, endorsements and feedback in connection with our websites, sales materials, marketing communications, social media, presentations, proposals and other promotional activity, unless you notify us in writing that you wish to withdraw such permission.

4.4 You warrant that you have the authority to provide any User Content and brand assets submitted, and that such use will not infringe the rights of any third party.

4.5 We reserve the right to remove or edit User Content at our discretion where it does not comply with these Terms or applicable law.

5. Our Content and Intellectual Property

10.3 Termination does not affect rights accrued prior to termination, including our rights under clause 4.

11.1 Where Services are accessed via a mobile application, use is granted on a limited, revocable, non-transferable basis in accordance with these Terms and applicable app-store rules.

11.2 App distributors are third-party beneficiaries of these Terms to the extent required by their platform policies.

12. General

12.1 Electronic communications satisfy any legal requirement for written communication.

12.2 These Terms constitute the entire agreement between you and us in relation to use of the Site.

12.3 We may assign our rights and obligations under these Terms.

12.4 If any provision is held unenforceable, the remainder shall continue in full force.

12.5 These Terms are governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
